By accessing or using the Service, or by selecting “I Accept,” you acknowledge that you have read, understood, and agree to these Terms and the AMSync Privacy Policy.
If you use the Service on behalf of a company, insurance agency, managing general agency, organization, or other legal entity (“Organization”), you represent that you are authorized to use the Service on behalf of that Organization and that your use is subject to these Terms.
1. AMSync Platform

2. Organizations and Authorized Users
Organizations may authorize employees, agents, managers, administrators, contractors, or other individuals to access AMSync (“Authorized Users”).
Each Authorized User must use their own account and credentials.
Users may not share login credentials or permit unauthorized persons to access their account.

5. Organization Data
As between AMSync and an Organization, the Organization retains its rights in information submitted to the Service by or on behalf of that Organization (“Organization Data”).
The Organization grants AMSync the limited rights necessary to host, transmit, process, reproduce, back up, secure, and otherwise use Organization Data to provide, maintain, protect, troubleshoot, support, and improve the Service, subject to applicable law and the Privacy Policy.
AMSync does not acquire ownership of an Organization's customer records merely because those records are stored through the Service.
6. Privacy and Data Protection
Use of personal information through AMSync is governed by the AMSync Privacy Policy and applicable agreements between AMSync and the Organization.
Organizations remain responsible for their independent legal obligations concerning information they collect and control, including providing any consumer privacy notices or obtaining any consents required by applicable law.
Where AMSync processes personal information on behalf of an Organization, AMSync may act as a service provider or processor, while the Organization may act as the business or controller, depending upon applicable law and the circumstances.
7. Secure Mobile Uploads

AMSync is not a bank or financial institution and does not guarantee authorization, settlement, reversal, chargeback, or availability of any payment transaction.
Users are responsible for verifying transaction amounts, customers, policies, payment methods, fees, and other transaction information before completing a transaction.
AMSync may maintain audit records relating to transaction creation, changes, corrections, approvals, or adjustment requests.
10. Credit and Debit Card Information
Where payment-card functionality is provided, payment-card information may be processed by third-party payment processors.
Users must not intentionally store complete payment-card numbers, card verification codes, passwords, or other prohibited payment credentials in unrestricted AMSync fields, notes, documents, or communications.
Organizations are responsible for complying with applicable payment-card requirements applicable to their operations.
11. Communications
AMSync may provide email, SMS, telephone, messaging, notification, or other communication functionality directly or through third-party providers.
Organizations and users are responsible for ensuring that communications sent through AMSync comply with applicable consent, marketing, telecommunications, privacy, insurance, and consumer-protection laws.
AMSync does not independently establish whether an Organization has obtained legally sufficient consent to contact a particular individual.
12. Workforce Management
AMSync may provide workforce functionality such as scheduling, shifts, attendance, time entries, breaks, leave, commissions, goals, and performance-related reporting.
These features are administrative tools and are not intended to determine an Organization's compliance with employment, wage-and-hour, payroll, tax, benefits, or labor laws.
Organizations are responsible for reviewing and approving workforce information and complying with applicable employment requirements.
13. Commissions
AMSync may calculate or display commission information using rules configured by an Organization.
Commission calculations are informational administrative records and should be reviewed by the Organization before payment.
The Organization remains responsible for determining compensation owed to employees, agents, contractors, managers, or other individuals.
14. Audit Logs and Activity Records
AMSync may maintain logs concerning account access and activities within the Service, including creation, modification, approval, rejection, upload, transaction, security, and administrative events.
Organizations acknowledge that these records may be used for security, troubleshooting, compliance, fraud prevention, internal controls, and auditing.
Users must not attempt to manipulate, disable, conceal, or circumvent audit mechanisms.
15. Third-Party Services
AMSync may integrate with third-party products and infrastructure, including hosting providers, databases, authentication services, insurance systems, rating systems, payment processors, communications providers, mapping/location providers, and other technology services.
Third-party services may be governed by their own terms and privacy policies.
AMSync is not responsible for outages, errors, changes, or acts of third-party services outside AMSync's reasonable control.
16. Account Security
Users must maintain the confidentiality of their credentials and immediately report suspected unauthorized access.
Organizations should use reasonable security practices when administering their accounts and should provide access only to individuals with a legitimate business need.

AMSync does not warrant that user-entered or third-party information is accurate, complete, or current.
19. Availability and Changes to the Service
AMSync may modify, improve, add, remove, or discontinue features from time to time.
The Service may occasionally be unavailable because of maintenance, upgrades, third-party outages, security incidents, internet failures, or circumstances beyond reasonable control.
No specific uptime commitment applies unless established in a separate written service-level agreement.
20. Intellectual Property
AMSync and its licensors retain all rights in the Service, including software, source code, interfaces, workflows, designs, trademarks, logos, documentation, technology, and other intellectual property, excluding Organization Data.
These Terms grant only a limited, nonexclusive, nontransferable right to use the Service during an authorized subscription.
21. Confidentiality
Users may obtain access to confidential information belonging to their Organization, customers, AMSync, carriers, MGAs, or other parties.
Users must use such information only for authorized purposes and protect it against unauthorized disclosure.
22. Suspension and Termination

- violation of these Terms;
- suspected unauthorized access or security threats;
- unlawful activity;
- nonpayment;

Upon termination, access to the Service may cease subject to applicable contractual, legal, backup, retention, and data-export requirements.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
AMSYNC DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Except where prohibited by law or superseded by a separate written agreement, AMSync's aggregate liability arising from the Service will not exceed the fees paid to AMSync by the applicable Organization during the twelve months preceding the event giving rise to the claim.
25. Indemnification
To the extent permitted by law, an Organization agrees to defend, indemnify, and hold harmless AMSync and its affiliates, officers, directors, and employees from third-party claims arising from the Organization's unlawful use of the Service, Organization Data, violation of applicable law, or violation of these Terms by its Authorized Users.
26. Changes to These Terms
AMSync may revise these Terms from time to time.
Each version will contain an effective date and version or revision information.
When AMSync determines that acceptance of revised Terms is required, users will be presented with the updated Terms upon their next login or authenticated session.
Users must review and affirmatively accept the applicable updated Terms before continuing to use protected portions of the Service.
AMSync may maintain electronic records showing the version presented and accepted, the user associated with the acceptance, the date and time of acceptance, and other reasonable audit information.
Continued access may be restricted until required acceptance is completed.
27. Electronic Communications and Acceptance

Selecting an acceptance control such as “I Accept” is intended to constitute your electronic acceptance of the version of the Terms presented to you.
AMSync may retain records of such acceptance for legal, security, and audit purposes.

Each party consents to personal jurisdiction and venue in those courts.
29. Entire Agreement
